Terms of Service

You must be at least 18 years old and able to form a binding contract to use the platform. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

SeasonalityX is a stock seasonality and market research platform that provides historical analysis, statistics, charts, and related tools for informational and educational purposes only. We may add, modify, suspend, or discontinue features at any time. We do not guarantee that the platform will be uninterrupted, error-free, or available at all times.

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the platform for your own internal, non-commercial purposes. You agree not to:

(a) resell, redistribute, sublicense, or commercially exploit the platform or its content; (b) copy, scrape, data-mine, or systematically extract data or analysis from the platform; (c) reverse-engineer, decompile, or attempt to derive or replicate the underlying analysis methodology, models, or algorithms; (d) share your account with, or use multiple accounts to circumvent plan limits on behalf of, others; (e) interfere with or disrupt the platform or its security; or (f) use the platform for any unlawful purpose.

The platform, including its software, analysis methodology, design, text, graphics, and all related intellectual property, is owned by SeasonalityX or its licensors and is protected by intellectual property laws. All rights not expressly granted to you are reserved. Market data is provided by third-party data providers and remains the property of those providers.

The platform offers a free tier and paid subscription plans (such as Pro and Premium). Paid plans are billed in advance on a recurring basis (for example, monthly) through our third-party payment processor, and automatically renew for successive periods until cancelled. By subscribing, you authorize us to charge your payment method for the applicable fees, including applicable taxes, on each renewal date.

We may change subscription prices or the features included in a plan. We will provide reasonable advance notice of any price increase, which will take effect on your next renewal. Continued use after a change takes effect constitutes acceptance of the new price.

You may cancel your subscription at any time from your account settings. Cancellation stops future renewals; your plan remains active until the end of the current paid billing period, after which it will not renew.

Except where required by applicable law, fees already paid are non-refundable, and we do not provide refunds or credits for partial billing periods or unused access. Where a statutory right of withdrawal or refund applies to you, that right is unaffected by this section.

SeasonalityX is not a registered investment advisor, broker-dealer, or asset manager. The platform provides historical analysis for informational and educational purposes only and does not constitute financial, investment, legal, tax, or trading advice. The platform and all content are provided on an “as-is” and “as-available” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the analysis, data, or results are accurate, complete, reliable, or error-free.

To the fullest extent permitted by law, SeasonalityX and its operators, officers, employees, and suppliers shall not be liable for any trading or investment losses, or for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or relating to your use of (or inability to use) the platform. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the platform shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless SeasonalityX and its operators from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the platform, your violation of these Terms, or your violation of any applicable law or third-party right.

We may suspend or terminate your access to the platform at any time if you violate these Terms or use the platform in a manner that may cause harm. You may stop using the platform and close your account at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date above and, where appropriate, by additional notice. Your continued use of the platform after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law principles, and you agree to the exclusive jurisdiction of the state and federal courts located in New Jersey, except where mandatory consumer-protection laws of your country or state of residence provide otherwise.
